Corporate law is the fastest growing practice area in the firm. The firm advises clients on all areas of Corporate and Commercial law including carrying out of Legal Due Diligence, Registration of Companies, Mergers and Acquisition, Foreign Investments, vetting Financing documents, drafting Memorandum and Articles of Associations, Share Holders and Share Purchase Agreements etc. In case of contentious issues, the Corporate and Commercial team is supported by the litigation team, which has extensive experience in various forums including the National Company Law Tribunal, , Competition Commission of India, Securities Tribunal, NCDRC, EPF Tribunal etc.


The firm advises a large number of Indian and Foreign Companies on a continuing basis. Some of the clients to whom comprehensive advice has been provided include the Nanz Group of Germany investing in India. The firm has advised and prepared all documents for Human GmbH of Germany a large medical diagnostic equipment company. All aspects of the transaction were carried out including legal due diligence, drafting the Share Purchase and the Share Holders Agreement, employment contracts etc. The firm has drafted Sub-License/Concession Agreement for IRCTC with respect to about 200 properties they wish to give out on Build Operate and Transfer basis for Budget Hotels.


The firm advises Hindustan Construction Co. Ltd. on a regular basis with respect to a number of their corporate issues including structuring deals, drafting Joint Venture and Consortium Agreements etc. The firm has advised an Indian major on an inward investment by a large French courier company. It has also advised a Bulgarian based Animal Health Product company for setting up a Joint Venture company in India.


The firm has assisted in takeover of a large NBFC in India by our German Client. We have advised Sumitomo, Japan in setting up a new joint venture in India and helping them set up the corporate entity and creating the structure of the venture. We have assisted various joint ventures in the Construction Industry right from inception and through the period of the contract. We have advised and represented United Breweries in various Courts and Tribunals, in one of their critical takeover battles. We have advised Hindustan Unilever in their various corporate and commercial issues. Recently we advised a British Firm in drafting a franchise agreement. Our comprehensive corporate service includes advisory, structuring, litigation and strategic consulting in corporate issues. The firm appears as well as advices Reliance Industries. The firm also advices Aditya Birla Group and DLF on regular basis in their corporate and commercial matters.


The Firm has assisted National Aluminium Company Limited (Nalco) in legal vetting of its bid documents, legal vetting of Joint Venture cum Shareholders Agreement, legal vetting of coal mining agreement.


The Firm advised Nalco and assisted in drafting agreements for setting up of Joint Venture Company called Khanij Bidesh India Limited (KABIL) which is a a Joint Venture Company with participating interest of NALCO, HCL and MECL, three CPSEs. The Firm at present is advising KABIL for their Exploration and Exploitation Agreement to be entered with CATAMARCA MINERA Y ENERGÉTICA SOCIEDAD DEL ESTADO (CAMYEN SE) for exploration and exploitation of Lithium in Argentina.
